The Dubai International Financial Centre is a common-law financial free zone with its own companies regulations, its own register of approved auditors and, for regulated firms, DFSA reporting drawn directly from the accounting records.

DIFC entities carry a heavier reporting load than a standard free zone. The companies regulations require financial statements, audit requirements apply broadly, and the audit must be performed by a firm on the DIFC's register of approved auditors — a non-approved firm's report will not satisfy the requirement.

For DFSA-regulated firms there is a second layer: periodic prudential returns, capital adequacy monitored continuously rather than calculated at year end, and client money and client asset reporting where the permission includes holding them. The recurring failure is a finance function built for statutory reporting and then asked to produce prudential returns from the same records — the two have different definitions, timetables and tolerance for error.

On Corporate Tax, DIFC is a free zone for federal purposes, so an entity may access the 0% rate on qualifying income as a Qualifying Free Zone Person subject to the full conditions. See DIFC and ADGM accounting.

Does a DIFC company need an audit?

Generally yes. The DIFC companies regulations require financial statements and audit requirements apply broadly, with the audit performed by a firm on the DIFC's register of approved auditors. Regulated firms have further obligations to the DFSA. Separately, audited financial statements are a condition of Qualifying Free Zone Person status for Corporate Tax, so an entity relying on the 0% rate needs an audit on that ground too. Are DIFC companies exempt from UAE Corporate Tax?

No. DIFC entities are within the federal Corporate Tax regime. DIFC is a free zone for these purposes, so an entity may apply the 0% rate to qualifying income as a Qualifying Free Zone Person — subject to every condition, including adequate substance, de minimis limits on non-qualifying revenue, transfer pricing compliance and audited financial statements. The common-law legal environment does not change the federal tax position.
